Oretta by HEHE.studio terms of service (English)

1. Who we are and who may use Oretta

Oretta is provided by Oretta by HEHE.studio, operated by HEHE.studio Marcin Michalak, a sole proprietorship registered in CEIDG, ul. Na Miasteczku 12C/255, 61-144 Poznań, Poland, VAT ID / NIP PL7773193269 ("we"). Contact: contact@oretta.app.

Oretta is for businesses only. Consumers may not open accounts. By creating a studio you confirm that you act for a business or as a sole trader. A NIP or EU VAT ID is optional on the Free plan and required before the first invoice. If you are a sole trader and this agreement is not of a professional nature for you, you keep the rights that art. 385⁵ of the Civil Code and the applicable provisions of the Consumer Rights Act give you; these terms do not limit them.

The person who creates a studio becomes its admin and confirms they may bind the studio. The studio is responsible for the people it invites and for having the right to put their data into Oretta. The data processing agreement forms part of these terms. How we process data is described in the privacy policy.

2. Acceptable use

You may not: break the law; enter data the studio has no right to enter; try to reach other studios' data; get around limits or safeguards; overload the service with automated requests beyond normal API use; or use Oretta to monitor people in breach of data protection or employment law. Oretta counts hours; it does not collect screenshots or activity traces, and you must not add them by workaround. We may suspend an account that breaks these rules, with notice where possible and with an export of its data (section 8).

3. Plans and the active-client meter

Every plan has every feature. Plans differ in the number of active clients and in whether a studio has one person or more.

Plan Condition Monthly, net Annual (10 months)
Free one active person in the studio 0 0
Studio up to 8 active clients PLN 79 / €24 PLN 790 / €240
Practice up to 20 PLN 139 / €39 PLN 1,390 / €390
Group up to 50 PLN 239 / €69 PLN 2,390 / €690

Above 50 active clients: we talk. The number of people does not change the price of a paid plan.

Active client. A client is active in a calendar month (Polish time, by the entry's start) if any finished time was logged against it that month, billable or not. These do not count: archived clients and the studio's internal client (one per studio, set by an admin or team lead, for the studio's own work). The internal-client and archive settings exist to describe work truthfully, not to get around the meter. If a studio marks as internal, or archives, a client it is in fact working for in that month, we may count that client as active at the next review, after showing the studio the months and clients concerned and giving it 14 days to explain.

Which plan. The plan follows the average of the last 12 monthly active-client counts, rounded up; with shorter history, the months that exist. It is reviewed once a year on the anniversary of the agreement, whether you pay monthly or annually. Crossing a threshold mid-year blocks nothing and adds no charge; a change of plan (up or down) takes effect on the anniversary. The "Billing" panel shows the 12 monthly counts, which clients counted, the average and the threshold. Free: a studio with one active person (a deactivated person does not count) is on Free.

4. Trial and moving to a paid plan

Inviting a second person to a studio on Free starts a 30-day trial of the paid plan the active-client average points to, with no card. From 7 days before the trial ends, the admin sees a notice in the app. On day 31 the studio either pays (invoice) or the extra people are deactivated and the studio returns to Free for one person. Nothing becomes read-only and no data is deleted. Studios that joined before self-serve signup launched may have individual terms agreed by email.

4a. Free plan

Free costs nothing and we may end it on 30 days' notice, with an export. Free support is by email, with no guaranteed response time.

5. Billing

We issue a VAT invoice in advance for a month or a year (as chosen), in PLN or EUR, amounts net, VAT added (23% for Polish taxpayers, special rules for foreign ones), electronically, through KSeF where the law requires it. Payment is due by bank transfer 14 days after the invoice is delivered; there is no card payment yet. An annual fee is not refunded except in the cases in section 8. Late payment carries statutory interest for delay in commercial transactions and the recovery compensation under the Act on Preventing Excessive Delays in Commercial Transactions. If payment is more than 30 days late despite a reminder, we may limit the studio's access to data export, and after another 30 days terminate under section 8.

Price changes. A price does not change within a paid period, and we announce an increase by email 60 days ahead; a plan's price does not rise with headcount. If you do not accept an increase, you may terminate with effect from the day it applies and get a pro-rata refund of an annual fee.

6. Studio data

Data entered into Oretta stays the studio's. It gives us a licence only to store and process it to provide the service. We do not sell it or use it to train models. The studio admin can download a full export for as long as the agreement lasts and for 30 days after it ends (sections 8 and 8a). Claude (MCP) and Slack work only after a person or admin turns them on; data goes there at their request.

7. Availability and changes

We provide the service with due care and no availability guarantee (SLA). Data is backed up daily (Supabase) and weekly (an encrypted copy); we do not commit to any particular recovery time. We may change features, but not in a way that removes the ability to export data.

8. Ending the agreement and export

The studio may cancel at any time (email us or, once it exists, in the app). A monthly plan ends with the paid month. An annual fee is not refunded if you cancel before the year ends, except when (a) we terminate without fault on your side, (b) you terminate because of a change to these terms or a price increase (sections 5, 10), or (c) we end the service; then we refund the pro-rata part.

We may terminate on 30 days' notice for a valid reason (for example ending the business, a change in law that prevents the service, ending the Free plan) or without notice for a serious breach of section 2 or the arrears in section 5.

For 30 days after the end, access is limited to data export by the admin. Then the data is deleted (section 9 of the data processing agreement) and backups expire within about 8 weeks. Export: the admin downloads one ZIP of CSV files.

8a. Switching and export

You may at any time ask for an export of your data or for its transfer to another provider, on notice of no more than 2 months. The transition period lasts up to 30 days, during which the service keeps working and export stays available. The export covers all of the studio's data as CSV (UTF-8, semicolon separator): people (without password hashes or tokens), clients, projects, tasks, tags, rates, time entries and person costs, with a file describing the fields. It does not include Slack settings or the studio logo. After the transition period the data stays available for download for at least 30 more days; then we delete it under section 9 of the data processing agreement. We charge nothing for switching or export.

9. Liability

We are liable for loss caused by non-performance or improper performance under the general rules, with these limits: (a) we are not liable for lost profit or indirect loss, including lost clients or commissions; (b) our total liability to a studio for all events in any 12 months is the higher of the fees the studio paid for those 12 months and PLN 1,000; on the Free plan, PLN 500. The limits do not apply to loss caused intentionally or by gross negligence, to personal injury, or to liability that the law does not allow to be limited (including towards data subjects under art. 82 GDPR). We are not liable for interruptions caused by events outside our control, including outages of the providers on the subprocessor list, where we acted with due care.

The studio is responsible for the accuracy of entries, rates and the invoices it issues to its clients from Oretta's reports: a supporting report is not accounting.

10. Changes to the terms, law, disputes

We may change these terms for a valid reason: a change in law, a decision of an authority, a change in the service's features, a change of providers, or security. We email you at least 30 days ahead; if you do not accept, you may terminate before the change applies, with export and a refund under section 8. Polish law. Disputes go to the common court competent for the provider's seat, unless the law gives you the right to another court. Contact: contact@oretta.app.

11. Transfer of the agreement

We may transfer this agreement to a legal successor or a buyer of the Oretta business, including a company the owner sets up, on at least 60 days' notice; you may then terminate with a pro-rata refund.
